International Business Transaction and Trade Law
Course Description:
Introduces major legal aspects of international business transactions and explores both traditional and alternative theories of international trade. Reviews basic justifications for international trade. Explores essential aspects of the international regulation of national trade policies, primarily under the General Agreement on Tariffs and Trade, and critical U.S. law governing transnational business. Uses case analysis and problem solving to illuminate the practical implications of these forms of international and domestic trade regulation. Shifts, in the second segment of this course, to the “micro-” transactional perspective of the international practitioner. Considers certain domestic and foreign laws and international conventions governing specific transactions, such as licensing and distribution arrangements and direct foreign investments. Adopts a hands-on approach to analyze the negotiations and documents required to complete these transactions.
